By accessing or using the Momentus application or website at momentusnotes.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including beta testers and early access participants.

2. Description of Service

Momentus is an AI-powered note-taking application designed to capture in-person conversations via Apple Watch and iPhone, and generate transcripts, summaries, action items, and follow-ups. The Service is currently in beta and features may change.

3. Beta Program

The Service is offered in an early beta phase. As a beta user, you acknowledge that:

The Service may contain bugs, errors, or incomplete features
Features may be added, changed, or removed at any time
We may use your feedback to improve the Service
Beta access may be revoked at our discretion

4. User Responsibilities

You agree to:

Provide accurate information when registering
Keep your account credentials confidential
Use the Service in compliance with all applicable laws
Obtain proper consent from all participants before recording any conversation. You are solely responsible for complying with all applicable recording consent laws in your jurisdiction.
Not record conversations in jurisdictions or contexts where doing so is prohibited by law
Not use the Service to record confidential privileged communications without appropriate authorization

5. Recording Consent Responsibility

Many jurisdictions require the consent of one or all parties to a conversation before it may be recorded. You are solely responsible for ensuring you have obtained all legally required consents before using Momentus to record any conversation. Momentus disclaims all liability arising from your failure to obtain proper consent.

6. Intellectual Property

You retain ownership of all content you create using the Service, including your recordings and generated notes. By using the Service, you grant us a limited license to process your content solely to provide and improve the Service. Momentus and its underlying technology, branding, and software remain the exclusive property of Momentus.

7. Prohibited Uses

You may not use the Service to:

Violate any law or regulation
Record anyone without their legally required consent
Transmit harmful, harassing, defamatory, or unlawful content
Attempt to reverse-engineer, hack, or disrupt the Service
Impersonate any person or entity
Use the Service for competitive intelligence against Momentus

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT TRANSCRIPTIONS WILL BE ACCURATE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOMENTUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED $100 OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, WHICHEVER IS GREATER.

10. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause. You may stop using the Service at any time. Upon termination, you may request deletion of your data by contacting support@momentusnotes.com.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.
